Terms of Service
1. Who we are
ProductBox ("the Service") is operated by Product Enrichment LTD, a company registered in England and Wales ("we", "us"). ProductBox is a trading name of Product Enrichment LTD.

2. The service
The Service enriches product lists you upload: it matches your rows against public product information and returns cleaned names, brands, barcodes, categories, descriptions, specifications and image links.
The Service is provided to businesses only. By creating an account you confirm that you are acting in the course of a business, trade, craft or profession and not as a consumer. The Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and equivalent EU consumer legislation therefore do not apply to this contract.

3. Accounts
You must provide a valid email address and keep your credentials confidential; you can also sign in with Google. You are responsible for activity under your account. New accounts receive a one-time welcome bonus of 25 credits when the email address is verified — one welcome bonus per customer.
You must give accurate account details and keep them current. If you tell us your VAT registration number we pass it to our payment processor so your purchases are taxed correctly.
4. Pricing, payment and refunds
- The Service is prepaid: you buy enrichment credits, where 1 credit = 1 enriched product. Credit packs are sold at the prices published at the time of purchase, with larger packs cheaper per credit; the discounted starter pack is available once per account, before its first completed purchase. Credits never expire.
- Credits are spent only on delivered results — a verified enriched product, or a borderline match delivered to your review list (paid at delivery, see below). Rows for which no product can be found cost no credits.
- While a run progresses, 1 credit is set aside for each row being enriched and is spent when that row delivers a result (an enriched product, or a borderline match presented for your review). Credits set aside for rows that turn out unmatched are released back immediately. If your spendable balance runs out the run pauses; you can buy more credits and continue, or keep only what was delivered so far. No negative balance is ever created.
- Review items are paid at delivery. A borderline match shown in your review list has already been searched, fetched and extracted for you, and its 1 credit is charged at the moment the result is made available. Accepting it is free — it simply files the product into your library, at any time. Undecided items are never charged again and never expire.
- Reject refunds. If a review item is a wrong match, reject it within 14 days of its delivery and we refund 0.9 credits; 0.1 credit is retained for the collection work already performed (search, page fetches, extraction). After 14 days a rejection no longer carries a refund. This is a commercial commitment we offer, not a statutory right, and the deadline is shown next to each review item. The 0.1 credit is a recovery of work already performed — not a charge for the match being wrong — and rejecting costs you nothing beyond it.
- Data-quality pause. If very few rows of a list are matching, we may pause the run so you can check your input data before more of it is processed; you can resume at any time. Unmatched rows still cost no credits.
How payment works. Payments are processed by Stripe, which acts as merchant of record for your purchase: Stripe sells the credits to you, collects payment, determines and charges any applicable VAT or sales tax, and issues your invoice. Prices are shown exclusive of tax; tax is added at checkout according to your location and, where you have given a valid business tax registration number, the applicable business-to-business treatment. Refunds under this section are returned through Stripe to your original payment method.
What you confirm at checkout. Before paying you confirm that you want the credits made available immediately and that you understand credits already spent on delivered results cannot be refunded. We record that confirmation with your order.
Refunds. Enrichment credits are prepaid digital content, made available for immediate use.
- Unused credits may be refunded on request at any time, at their purchase price (less any payment-processor fee), to your original payment method. Credits never expire, and you are never locked into a balance you have not spent.
- Credits already spent on delivered results are non-refundable, because the enriched data has been supplied to you — except the 0.9-credit refund for review items rejected within their 14-day window, as described above.

5. Your data and our results
Your lists. You retain all rights to the lists you upload. We use them to run your jobs and to operate the Service as described below. You confirm you have the right to upload and process the data in them.
The shared product database. Enrichment produces information about products — names, brands, barcodes, categories, specifications and images. Verified product information produced while running your jobs is added to our shared product database and may be served to other customers, including after you delete the catalogue it came from or close your account. This is how a product that has been enriched once does not have to be enriched again, and it is why enrichment is priced as it is.
This applies only to product information. It never includes your list itself, your prices, your internal codes, your identity, or any commercial term of your business. You are not charged when another customer reuses a product, and you are not paid for it either.
Using the results. You may use delivered enrichment results — names, brands, barcodes, categories, descriptions and specifications — in your own shops, product lists and systems. You may not resell the Service itself or systematically extract our enrichment database.
Images. Product images are collected from public sources and remain the property of their respective rightsholders. We host them for your convenience and grant you no licence in them; we give no warranty that any image is free of third-party rights, and you are responsible for confirming that you are entitled to use a given image before you publish it. We will remove any image on a valid rightsholder request — see our copyright and takedown page.
Accuracy. Enriched data is compiled from public sources and delivered with confidence scores. It is provided "as is".
You must not use enriched data as the sole basis for regulatory compliance, safety labelling, allergen or ingredient declarations, or medical, pharmaceutical or child-safety determinations. Verify such information against the manufacturer's own documentation before relying on it.
6. Acceptable use
Do not upload data you have no right to process, attempt to disrupt the Service, or use it for unlawful purposes. We may suspend accounts that do.
You must not attempt to access another customer's data, probe or circumvent our security or rate limits, use automated means to extract the Service's output beyond your own results, or resell access to your account.
7. Service availability
We aim to keep the Service available and will make reasonable efforts to do so, but we do not guarantee any level of uptime and the Service is provided without a service-level agreement. We may carry out maintenance, and may change or withdraw features, at any time. Enrichment depends on third-party search, hosting and AI providers; where they are unavailable, runs pause and resume rather than fail, and credits set aside for unfinished rows are released. Unused credits are unaffected by any interruption and remain available.
8. Your responsibility to us
You will indemnify us against any claim, loss or cost arising from:
- data you upload that you had no right to upload or process;
- your use or publication of enrichment results, including images, in breach of a third party's rights; or
- your breach of section 6 (Acceptable use).
We will tell you promptly about any such claim, will not settle it without your agreement, and will let you control the defence if you ask to.
9. Our intellectual property
The Service — the platform, its interface, our enrichment engine, prompts, taxonomy, brand data and the shared product database — is and remains ours. These terms grant you the right to use the Service and the results it delivers to you; they transfer nothing else. "ProductBox" and our logo are our marks.
10. Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales. Subject to that, our total liability for any claim related to the Service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential losses, including lost profits, lost revenue, lost or corrupted data, or decisions made on the basis of enriched data.
11. Suspension and termination
You can close your account at any time from Settings, or by writing to us. Remaining purchased credits are refunded per section 4 and your data is deleted per the Privacy Policy. Closure is immediate and cannot be undone, so export anything you want to keep first.
We may suspend or close your account if you breach these terms, if we reasonably suspect fraud or unauthorised access, or if we are required to by law. Where the reason is something you can put right, we will tell you first and give you a reasonable opportunity to do so. If we close your account without cause, we refund your unused credits.
Verified product information remains in the shared product database as described in section 5.
12. Changes to these terms
We may update these terms with notice by email or in the app; continued use means acceptance.
If we change these terms in a way that materially disadvantages you, you may close your account within 30 days of the notice and we will refund your unused credit balance at the price you paid. Credits already spent on delivered results are not refunded, including the 0.1 credit retained on a rejected review item, which covers collection work already performed at the time.
13. General
- Force majeure. Neither of us is liable for failure to perform caused by something outside our reasonable control, including failures of hosting, network, payment or AI providers.
- No third-party rights. No one other than you and us may enforce these terms. The Contracts (Rights of Third Parties) Act 1999 does not apply.
- Assignment. We may transfer these terms to a buyer of our business on notice to you. You may not transfer them without our written consent, which we will not unreasonably withhold.
- Sanctions and export. You confirm you are not subject to trade sanctions and will not use the Service in breach of sanctions or export-control law.
- Notices. We contact you at your account email address; you contact us at support@productbox.net. Email is valid notice for both of us.
- Waiver and severability. Not enforcing a term does not waive it. If a term is unenforceable, the rest stands.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about the Service, and replace anything said before.
14. Governing law
These terms, and any dispute or claim arising out of them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
